2. These terms

By using the Site you accept these terms of use and agree to comply with them. If you do not agree, you must not use the Site.

We may amend these terms at any time by updating this page. Check this page when you use the Site; the version published at the time of your use applies. These terms were last updated on 19th August 2026.

Other terms may also apply to you:

- Our **Privacy Policy** and **Cookie Policy**, which set out how we handle personal data and cookies.
- Our **Subscription Terms** and Order Form / Master Services Agreement, which govern any paid subscription to Career Visibility Software or any careers website or interactive tools engagement, and which prevail over these terms in the event of conflict in relation to those services.
- Any specific terms notified to you when you download a resource, request a Career Visibility Healthcheck or book a discovery call.

3. Changes to the Site

We may update and change the Site from time to time to reflect changes to our services, our users' needs and our business priorities. The Site is made available free of charge, and we do not guarantee that it, or any content on it, will always be available or uninterrupted. We may suspend, withdraw or restrict availability of all or any part of the Site for business and operational reasons, and will try to give reasonable notice of any suspension or withdrawal.

4. Accessing customer accounts

The Site links to the CareerPaths application login. Access to and use of the application is governed by the Subscription Terms and by the account terms accepted at sign-up, not by these terms of use.

Where you are provided with, or choose, a user identification code, password or other security credential, you must treat it as confidential and must not disclose it to any third party. We have the right to disable any credential at any time if in our reasonable opinion you have failed to comply with any of the provisions of these terms or the Subscription Terms. If you know or suspect that anyone other than you knows your credentials, promptly notify us at [email protected].

5. Acceptable use

You may use the Site only for lawful purposes. You may not:

- use the Site in any way that breaches any applicable law or regulation, or is fraudulent or has any fraudulent purpose or effect;
- use the Site to send, knowingly receive, upload, download or re-use any material that does not comply with our content standards in clause 7;
- access without authority, interfere with, damage or disrupt any part of the Site, any equipment or network on which the Site is stored, or any software used in the provision of the Site;
- introduce viruses, trojans, worms, logic bombs or other material that is malicious or technologically harmful;
- attempt to gain unauthorised access to the Site, the server on which it is stored, or any server, computer or database connected to it, or attack the Site via a denial-of-service attack;
- use any robot, spider, scraper or other automated means to access, copy or monitor any part of the Site, or to extract, compile or reproduce our content or data, without our prior written consent (this includes collection of content for the purpose of training or fine-tuning machine learning or AI models); or
- misuse Cath or any other interactive feature — including attempts to circumvent its guardrails, extract its instructions, or use it to generate content unrelated to careers.

We may report any breach of this clause to the relevant law enforcement authorities and will co-operate with those authorities by disclosing your identity to them.

6. Intellectual property rights

We are the owner or licensee of all intellectual property rights in the Site and in the material published on it, including but not limited to: the CareerPaths and Cath names and logos; the Career Visibility Framework and Career Visibility Score methodology; our skills, competency, role and qualification libraries; our pathway visualisation formats and interactive tool designs; and all text, graphics, illustrations, animations, video and software on the Site. Those works are protected by copyright, database right, trade mark and other laws around the world. All such rights are reserved.

You may print off one copy, and may download extracts, of any page from the Site for your own internal reference, and may draw the attention of others within your organisation to content posted on the Site. You must not modify the paper or digital copies of any materials you have printed off or downloaded in any way, and you must not use any illustrations, photographs, video or audio sequences or any graphics separately from any accompanying text. Our status (and that of any identified contributors) as the authors of content on the Site must always be acknowledged.

You must not use any part of the content on the Site for commercial purposes without obtaining a licence to do so from us. Where a resource is offered for download, the licence granted is that stated with the resource; in the absence of a stated licence, the resource is provided for your organisation's internal use only and may not be redistributed, resold or published.

Third-party trade marks referred to on the Site — including the names of HR and identity systems with which our products interoperate — are the property of their respective owners and are used for identification purposes only. Reference to them does not imply any endorsement or affiliation.

7. Material you submit and content standards

The Site invites you to submit information in several ways: enquiry and demo booking forms, resource download forms, Career Visibility Review requests (including URLs and materials you choose to share about your organisation), and questions asked of Cath.

Any material you submit must be accurate (where it states facts), genuinely held (where it states opinions), and must comply with applicable law. It must not be defamatory, obscene, offensive, discriminatory, deceptive, or infringe any third party's rights, and it must not contain any special category personal data or confidential information belonging to a third party which you are not authorised to disclose.

You retain ownership of the material you submit. You grant us a non-exclusive, royalty-free licence to use, store and copy that material for the purposes of responding to you, providing the service you requested, and improving our services. We may use aggregated and anonymised insights derived from submissions (for example, patterns in the questions candidates ask, or benchmark data across Career Visibility Healthchecks) in our research and marketing, provided no individual or organisation is identifiable.

We have the right to remove any material you post if, in our opinion, it does not comply with these standards.

8. Cath and AI-generated content on this Site

Cath is an AI assistant. Where Cath is available on this Site, the answers she gives are generated automatically from our published content and may not always be complete, current or correct. Answers are provided for general information only.

Cath does not provide legal, financial, employment or professional advice, and nothing she says forms part of any contract, quotation or commitment by us. Where accuracy matters — pricing, contractual terms, security commitments, implementation timescales — rely on our published pricing, the Subscription Terms, the Trust Pack, or written confirmation from a member of our team, and not on an AI-generated answer.

Conversations with Cath on this Site are logged. Please do not enter confidential information, special category personal data, or the personal data of others into Cath. Our handling of these conversations is described in the Privacy Policy.

9. No reliance on information

The content on the Site is provided for general information only. It is not advice on which you should rely, and it does not constitute professional advice of any kind — including HR, employment, legal, data protection or financial advice. You must obtain professional or specialist advice before taking, or refraining from, any action on the basis of the content on the Site.

Although we make reasonable efforts to update the information on the Site, we make no representations, warranties or guarantees, whether express or implied, that the content is accurate, complete or up to date. Product descriptions, feature references and roadmap statements describe our current intentions and are not commitments to deliver any particular feature by any particular date; contractual commitments are made only in the Subscription Terms and any applicable order documentation.

Case studies, testimonials and client results describe the experience of specific organisations and are not a guarantee that you will achieve similar results.

10. The Career Visibility Review and free resources

The Career Visibility Review is provided free of charge and without obligation. It is a structured professional opinion based on the public materials we can access and any materials you choose to share with us, assessed against our Career Visibility Framework. It is not an audit, a certification, or a legal or compliance assessment, and it does not create any advisory relationship between us. Scores and recommendations are indicative and are provided for your internal use.

Free resources, templates and checklists are provided "as is" for your organisation's internal use. You are responsible for satisfying yourself that any template is appropriate for your circumstances before using it.

11. Our liability

Nothing in these terms excludes or limits our liability where it would be unlawful to do so. This includes liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot be excluded or limited under English law.

If you are a business user: we exclude all implied conditions, warranties, representations or other terms that may apply to the Site or any content on it. We will not be liable to you for any loss or damage, whether in contract, tort (including negligence), breach of statutory duty or otherwise, arising under or in connection with use of, or inability to use, the Site, or use of or reliance on any content displayed on the Site. In particular we will not be liable for: loss of profits, sales, business or revenue; business interruption; loss of anticipated savings; loss of business opportunity, goodwill or reputation; or any indirect or consequential loss or damage.

If you are a consumer user: we only supply the Site for domestic and private use, and we will not be liable for any business losses.

Our liability in respect of the paid services is dealt with in the Subscription Terms and is not affected by this clause.

12. Viruses

We do not guarantee that the Site will be secure or free from bugs or viruses. You are responsible for configuring your information technology, computer programmes and platform to access the Site, and should use your own virus protection software.

13. Linking to the Site

You may link to our home page, provided you do so in a way that is fair and legal and does not damage our reputation or take advantage of it. You must not establish a link in such a way as to suggest any form of association, approval or endorsement on our part where none exists, and you must not frame the Site on any other site. We reserve the right to withdraw linking permission without notice.

14. Third-party links and resources

Where the Site contains links to other sites and resources provided by third parties, these links are provided for your information only and should not be interpreted as approval by us of those linked websites or the information you may obtain from them. We have no control over the contents of those sites or resources.

15. Governing law and jurisdiction

These terms, their subject matter and their formation are governed by the law of England and Wales. **If you are a business user**, we and you both agree that the courts of England and Wales will have exclusive jurisdiction. **If you are a consumer**, you may also bring proceedings in the courts of the country in which you live.

16. Contact us

To contact us about these terms, email [email protected] or write to loyaltyMATTERS Ltd, 104 Station Parade, Harrogate, HG1 1HQ.
